北方矿业(00433)拟100万元收购广西平果艾科美特新材料的100%股权
北方矿业(00433)发布公告，于2023年11月22日，买方上海汇颂实业(公司间接全资附属公司)分别与沙立盛(沙先生)及张春(张先生)订立股权转让协议，沙先生及张先生分别有条件同意向买方出售彼等各自于目标公司2广西平果艾科美特新材料的51%及49%股权，总代价为人民币100万元。代价须由该公司以现金支付。
目标公司2为于中国成立的公司，是一家高科技企业，主要在中国从事生产及销售功能性及环保新材料。
公告称，股权转让将有助集团凭藉矿产资源利用方面的高新技术，进军中国环保新材料制造业以扩大集团的业务范围，亦有利于集团不时寻觅合适的投资机会，以拓展新材料行业创新业务及增强集团长期增长潜力。鉴于中国市场潜力优厚，倘该新业务分类得以落实，预期可为集团带来持续的收入增长。因此，董事会认为订立股权转让协议符合集团及股东的整体利益。
