中航科工(02357)：中直股份(600038.SH)重大资产重组获得上交所并购重组审核委员会审核通过
中航科工(02357)公布，为进一步实现直升机业务的整合，促进上市公司高质量发展，中直股份(600038.SH)(以下简称“公司”)拟发行股份购买昌河飞机工业(集团)有限责任公司和哈尔滨飞机工业集团有限责任公司100%股权并募集配套资金。
上海证券交易所并购重组审核委员会于2023年12月25日召开2023年第10次并购重组审核委员会审议会议，对公司本次重组的申请进行了审议。本次重组已获得上海证券交易所并购重组审核委员会审核通过(根据上海证券交易所发布的《上海证券交易所并购重组审核委员会 2023年第10次审议会议结果公告》，本次会议的审议结果为：本次交易符合重组条件和信息披露要求)。
此外，公司本次重组尚需取得中国证券监督管理委员会(以下简称“中国证监会”)同意注册的决定后方可实施，能否取得中国证监会同意注册的决定以及取得注册的时间仍存在不确定性。
