鲁商服务(02376)拟以487.83万元向鲁商福瑞达收购山东鲁健的全部股权
鲁商服务(02376)发布公告，于2024年2月27日(联交所交易时段后)，公司(作为买方)与鲁商福瑞达(作为卖方)及山东鲁健(作为目标公司)就买卖山东鲁健总股权的100%订立股权转让协议。股权转让协议项下的代价为人民币487.83万元。
截至本公告日期，山东鲁健的主要资产包括现金及其他应收款项，山东鲁健主要从事提供企业总部管理、远距健康管理服务、健康咨询服务及运动健康服务、卫生用品、一次性医疗用品及医疗器材销售、网路销售。
公司拟发展有关电梯系统维修保养的物业管理服务。然而，设立一家公司涉及相关资产监督管理机关规定的一系列手续。该等手续预期需时较长才能完成，不仅有碍公司的业务发展，亦会带来沉重的合规成本，可能会影响公司的会计期。相反，收购一家现有公司并根据公司业务需求变更其业务范围的相关手续预期需时较短就能完成，成本亦较低。因此，收购事项可促进公司的业务发展。
